1. Introduction and Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Participant", "Client", or "User") and Mind Trail Base Pty Ltd (ABN 48 619 402 783) ("Mind Trail Base", "we", "us", or "our"), governing your access to and use of our website located at mindtrailbase.click and all associated technical analysis training programs, workshops, chart clinics, written materials, and consulting services.

By browsing our website, reserving a seat in a training cohort, purchasing a chart clinic, or engaging our consulting services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our companion Privacy Policy.

2. Nature of Educational Services

Mind Trail Base provides educational training, mentoring, and diagnostic review services relating to technical chart analysis, market structure mapping, and risk-to-reward calibration. All materials, chart breakdowns, live streams, and course binders are provided strictly for general informational and educational purposes.

You acknowledge and understand that:

• Mind Trail Base is an educational institution and does not hold an Australian Financial Services Licence (AFSL).
• No content, session, or written material provided by Ethan Parker or Mind Trail Base constitutes personal financial product advice, investment advice, trading recommendations, or a solicitation to buy or sell any financial instrument.
• Financial markets (including equities, futures, options, commodities, and foreign exchange) involve substantial risk of capital loss. Past market performance or historical chart patterns discussed in workshops do not guarantee future market outcomes.
• You remain entirely responsible for your own independent financial decisions and trading capital.

3. Intellectual Property Rights

All course curricula, visual atlases, trade log templates, written analytical playbooks, website designs, graphics, audio-visual recordings, and proprietary analytical frameworks (including the Four-Tier Top-Down Hierarchy) are the exclusive intellectual property of Mind Trail Base Pty Ltd and Ethan Parker, protected under the Copyright Act 1968 (Cth) and international intellectual property treaties.

Enrolled participants receive a personal, revocable, non-exclusive, non-transferable license to access and review course materials solely for individual personal education. You agree that you will not reproduce, redistribute, record, broadcast, re-sell, sublicense, or publicly publish any proprietary training materials or session recordings without our prior express written authorization.

4. Enrollment, Scheduling & Participant Conduct

To maintain an effective learning environment, cohort sizes for our intensive programs and in-person masterclasses are strictly limited. Mind Trail Base reserves the right to accept or decline enrollment applications based on prerequisite suitability.

Participants are expected to maintain respectful, professional conduct during live cohort sessions and chart clinics. Mind Trail Base reserves the right to dismiss any participant who engages in disruptive, abusive, or unlawful conduct from a session without entitlement to a fee refund.

5. Limitation of Liability

To the maximum extent permitted by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), Mind Trail Base Pty Ltd, its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, trading losses, loss of capital, data loss, or business interruption arising out of or in connection with your use of our website, materials, or training sessions.

6. Governing Law & Jurisdiction

These Terms and any disputes arising out of or related to our services are governed by and construed in accordance with the laws of the State of New South Wales, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
